Carmelo Marrelli
Director
Mr. Marrelli is the principal of The Marrelli Group of Companies. He is a Chartered Professional Accountant (CPA, CA, CGA) and a member of the Institute of Chartered Secretaries and Administrators, a professional body that certifies corporate secretaries. He has a Bachelor of Commerce degree from the University of Toronto. Mr. Marrelli acts as the chief financial officer to a number of issuers on the TSX, TSX Venture Exchange, and CSE, as well as non-listed companies, and as a director of select issuers.

James Atherton
CEO, President & Director
James Atherton is the principal of Capiche Legal, a Vancouver-based law firm specializing in corporate and securities law, and the CEO and founder of Capiche Capital Technologies, a web-based solution that streamlines and automates exempt market financings. Prior to founding Capiche, James worked with reputable national and regional law firms and served as a senior executive of a Toronto Stock Exchange-listed company. His legal background and experience advising on corporate governance practices and securities law matters provides him with a comprehensive understanding of challenges and opportunities facing issuers and transfer agents. James received his LLB from the University of British Columbia and is a member of the Law Society of British Columbia.

George A. Duguay
Director
Mr. Duguay has been the President of G. Duguay Services Inc. since January 1989 and was a partner of Duguay and Ringler Corporate Services, a provider of corporate and financial administrative services to public companies, until February 2006. G. Duguay Services Inc. continues to act as a consultant in this area. Currently he is a Director of The Becker Milk Company Limited listed on the Toronto Stock Exchange and BWR Exploration Inc. listed on the TSX Venture Exchange. He is Corporate Secretary for Galantas Gold Corporation listed on the TSX Venture Exchange and the London England, AIM Exchange. Until January, 2020 he was a Director, Chairman of the Board of Directors and previously Chairman of the Audit Committee of Intrinsyc Technologies Inc., a company listed on the TSX that provides proprietary software, hardware, and services for the growing market of mobile handheld products. Mr. Duguay was a co-founder of Equity Financial Trust Company, a provider of transfer agent and corporate trust services. In addition, during the period May 1993 to December 2004, Mr. Duguay served as a director of Genesis Microchip Inc., the world's leading supplier of display image processors which during that time was listed on NASDAQ. Mr. Duguay is a Chartered Professional Accountant (CPA,CGA) and a Fellow of the Institute of Chartered Secretaries and Administrators (F.C.I.S.).

Rana Vig
Director
Mr. Vig has over 30 years of business experience during which time he has helped to launch five business ventures in private industry. He has been involved in several publicly traded companies since 2010, serving first as an executive at an industry leading algorithmic securities trading systems company and then of an award winning automated referral marketing solutions company that powered loyalty and referral marketing programs across 39 countries for brands including AT&T, Sprint, Telus, Envision Financial and others. From 2011 to 2016 Mr. Vig served as President of Musgrove Minerals, an Idaho focused gold and copper mining exploration company, and from 2013 to 2016, he was the Chairman and CEO of Continental Precious Minerals Inc., a TSX senior board exploration company with a focus on advancing one of the largest uranium projects in the world, located in Sweden. Currently he is the President & CEO of Blue Lagoon Resources, a CSE listed mining exploration company with a focus on gold. Mr. Vig is a former chair of BC Open Learning Agency, and serves on several public company boards and committees. He is active in many charitable and community organizations acting as director or advisor. In November 2017, he was invited to the Canadian Senate to receive the Senate 150th Anniversary Medal - which were awarded to top Canadians actively involved in their communities who, through generosity, dedication and hard work, make their hometowns and communities, a better place to live.

David Goertz
Director
Mr. Goertz started his career at Ernst & Young LLP in 2001, and in 2005 he joined DMCL LLP, becoming a partner in 2011. His work at DMCL LLP specializes in assurance services to both private and public companies. His practice also includes in-depth tax work with a variety of clients, both private and public, encompassing a diverse array of fields. Mr. Goertz has a comprehensive knowledge of public accounting, having been in public practice for 16 years. He has been a partner at one of Canada’s largest independent accounting firms for the last six years. Mr. Goertz brings extensive knowledge of accounting practices to MTCL and is a valuable addition to the board of directors.

Dennis Peterson
Director
Dennis Peterson is an established lawyer in the area of small cap mining and natural resources law in Toronto. Mr. Peterson has extensive experience with public resource companies, corporate finance, and mergers and acquisitions, and practises exclusively in this area. Mr. Peterson formed Peterson Law (now Peterson McVicar LLP) in 1995. The firm primarily focuses on securities and corporate finance law. A graduate of Queen’s University (B.Comm. (Hons.)) and the University of Toronto (LL.B.), Mr. Peterson is a member of the Ontario Bar Association and the Canadian Bar Association and was called to the bar in Ontario in 1988. Dennis is also the author and co-editor of Shareholders Remedies in Canada published by Butterworths.”
